Terms of Service

Effective Date: March 2026 — Vyron Telecom Inc.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Vyron Telecom Inc. ("Vyron," "we," "us," or "our"), a corporation incorporated under the laws of Canada with its principal office in Ottawa, Ontario.

By accessing or using the Vyron Telecom website (vyrontelecom.com), submitting inquiries, requesting deployment briefings, or purchasing or using Vyron Quantum Cipher devices and services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of our website and services.

These Terms apply to all visitors, users, prospective customers, government partners, enterprise clients, and any other party who accesses or uses our website or services.

2. Description of Services

Vyron Telecom Inc. designs, manufactures, and deploys quantum-encrypted mobile communication devices and associated services under the brand name "Quantum Cipher." Our platform delivers hardware-isolated, sovereign-controlled, quantum-safe encrypted voice communications.

Our services include: Vyron Quantum Cipher smartphones (Sentinel, Nova, and Pulse models) equipped with quantum-safe TF security cards and hardware TEE encryption; Quantum Key Management System (KMS) operated within Canadian jurisdiction for secure key lifecycle management; deployment briefings, technical consultations, and integration support for government, enterprise, and critical infrastructure clients; and ongoing firmware updates, security patches, and device management capabilities.

Service availability, features, and specifications may vary based on deployment configuration, geographic location, and applicable regulatory requirements. Vyron Telecom reserves the right to modify, suspend, or discontinue any aspect of our services with reasonable notice to affected customers.

3. Eligibility & Authorization

Our products and services are designed for authorized organizations and their designated personnel, including federal, provincial, and municipal government agencies; law enforcement and intelligence services; defense departments and NATO-allied organizations; licensed financial institutions and regulated enterprises; critical infrastructure operators (energy, utilities, transportation, telecommunications); and other organizations with verifiable secure communication requirements.

Individual consumers may purchase Vyron devices subject to availability and applicable regulations. Certain deployment configurations — particularly those involving classified communications or government networks — may require security clearance verification, organizational authorization, or compliance with specific procurement frameworks.

You represent and warrant that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

4. Account & Device Registration

Certain features of our services may require device registration or account creation. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Vyron Telecom immediately of any unauthorized use of your account or any other breach of security.

Device registration information is stored exclusively within Canadian jurisdiction. We do not require or store information about your communications, contacts, call history, or encryption keys as part of the registration process.

5. Pricing, Payment & Orders

Pricing for Vyron Quantum Cipher devices and services will be communicated during the deployment briefing process. All prices are quoted in Canadian dollars (CAD) unless otherwise specified. Pricing may vary based on volume, deployment configuration, and applicable government or enterprise procurement frameworks.

Payment terms will be specified in individual purchase agreements or service contracts. For government procurement, we accept standard government purchase orders and comply with applicable procurement regulations including the Canadian Government's Supply Manual requirements.

All orders are subject to acceptance by Vyron Telecom. We reserve the right to refuse or cancel orders at our discretion, including orders that appear to violate export control regulations or sanctions requirements.

6. Product Specifications & Warranties

Product specifications, features, performance metrics, and capabilities described on this website and in marketing materials are provided for informational purposes and represent our current design targets and capabilities. Final product configurations will be confirmed during the deployment briefing and procurement process.

Vyron Telecom warrants that Quantum Cipher devices will be free from defects in materials and workmanship for a period of 24 months from the date of delivery. This warranty covers manufacturing defects and hardware failures under normal operating conditions.

This warranty does not cover: damage resulting from misuse, accident, unauthorized modification, or negligence; damage caused by exposure to conditions outside the device's specified operating parameters; normal wear and tear, including battery degradation; software issues unrelated to Vyron's pre-installed encryption application; or damage resulting from use with unauthorized accessories or third-party modifications.

Warranty claims must be submitted to support@vyrontelecom.com with proof of purchase and a description of the defect. Vyron Telecom will, at its discretion, repair or replace defective devices within 30 business days of receiving the warranty claim.

7. Intellectual Property

All content on the Vyron Telecom website — including but not limited to text, graphics, logos, icons, images, audio clips, video content, data compilations, software, and the overall design and layout — is the property of Vyron Telecom Inc. or its licensors and is protected by Canadian and international copyright, trademark, patent, and other intellectual property laws.

The Vyron name, Vyron Telecom logo, Quantum Cipher, Sentinel, Nova, Pulse, and all related names, logos, product and service names, designs, and slogans are trademarks of Vyron Telecom Inc. You may not use these marks without our prior written permission.

You are granted a limited, non-exclusive, non-transferable license to access and view the content on our website for personal, informational, and non-commercial purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from our website without express written consent.

8. Confidentiality

During the course of your engagement with Vyron Telecom — including deployment briefings, technical consultations, procurement negotiations, and service delivery — you may receive or have access to confidential and proprietary information. This includes technical specifications, architecture details, pricing structures, deployment configurations, security protocols, manufacturing processes, business strategies, and customer information.

You agree to: maintain the confidentiality of all proprietary information; not disclose confidential information to any third party without prior written consent; use confidential information solely for the purpose of evaluating, procuring, or using Vyron products and services; and implement reasonable security measures to protect confidential information from unauthorized access or disclosure.

These confidentiality obligations survive the termination of these Terms and any related service agreements for a period of five (5) years.

9. Acceptable Use

You agree to use our website and services only for lawful purposes and in accordance with these Terms. You agree not to: use our services for any purpose that violates applicable federal, provincial, or local laws or regulations; attempt to gain unauthorized access to our systems, networks, or other users' accounts; interfere with or disrupt the operation of our website or services; transmit any malicious code, viruses, or other harmful technology; impersonate any person or entity or misrepresent your affiliation with any person or entity; or use our services to facilitate illegal surveillance, unauthorized interception, or any activity that violates the privacy rights of others.

Vyron Telecom reserves the right to suspend or terminate your access to our services if we reasonably believe you have violated these acceptable use provisions.

10. Export Controls & Sanctions

Vyron Quantum Cipher devices and associated encryption technology are subject to Canadian export control regulations administered by Global Affairs Canada under the Export and Import Permits Act (EIPA) and the Defence Production Act. Our products may also be subject to the Wassenaar Arrangement on Export Controls for Conventional Arms and Dual-Use Goods and Technologies.

You represent and warrant that: you will not export, re-export, or transfer Vyron products or technology to any country, entity, or individual prohibited by Canadian export control laws or international sanctions; you are not located in, or a national or resident of, any country subject to comprehensive Canadian or international sanctions; you will comply with all applicable export control and sanctions regulations in your jurisdiction; and you will promptly notify Vyron Telecom if you become aware of any potential violation of export control requirements.

Vyron Telecom may require end-use certificates, export permits, or other documentation before processing certain orders, particularly those involving international delivery or government/defense applications.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Vyron Telecom Inc. and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use our website or services.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to Vyron Telecom for the specific product or service giving rise to the claim during the twelve (12) months preceding the event.

Nothing in these Terms limits or excludes liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any liability that cannot be lawfully excluded or limited under applicable Canadian law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Vyron Telecom Inc. and its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: your violation of these Terms; your use of our website or services; your violation of any applicable law or regulation; your violation of any third-party rights, including intellectual property or privacy rights; or any unauthorized or illegal use of Vyron products by you or any person using your account or devices.

13. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services, the parties agree to first attempt to resolve the matter through good-faith negotiation. Either party may initiate negotiation by sending written notice to the other party describing the dispute and proposed resolution.

If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the matter to binding arbitration administered by the ADR Institute of Canada in accordance with its arbitration rules. The arbitration shall take place in Ottawa, Ontario, and shall be conducted in English or French at the claimant's election.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or breach of confidentiality obligations.

14. Governing Law & Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal proceedings not subject to arbitration shall be brought exclusively in the courts of the Province of Ontario, and you irrevocably consent to the jurisdiction of such courts.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

16. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements or purchase orders, constitute the entire agreement between you and Vyron Telecom Inc. regarding the use of our website and services. These Terms supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral.

17. Changes to These Terms

Vyron Telecom reserves the right to update or modify these Terms of Service at any time. When we make material changes, we will post the updated Terms on this page with a revised "Effective Date" and, where appropriate, provide notice via email or a prominent banner on our website. Your continued use of our website or services after any changes constitutes acceptance of the revised Terms.
